Non-Disclosure Agreement (NDA) This Non-Disclosure Agreement ("Agreement") is made and entered into as of the date of purchase, by and between Be a Pro Sports, ("Disclosing Party") and the Customer ("Receiving Party").

1. Definition of Confidential Information For purposes of this Agreement, "Confidential Information" includes all written, electronic, or oral information disclosed by the Disclosing Party to the Receiving Party that is designated as confidential or that a reasonable person would understand to be confidential. This includes, but is not limited to, product details, business strategies, marketing plans, customer lists, technical data, and any other proprietary information.

2. Obligations of Receiving Party The Receiving Party agrees to: ● Maintain the confidentiality of the Confidential Information and exercise the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. ● Not disclose or permit disclosure of any Confidential Information to any third party without the prior written consent of the Disclosing Party. ● Use the Confidential Information only for the purpose of utilizing the purchased products or services and not for any other purpose. ● Restrict access to the Confidential Information to those employees, agents, or subcontractors who need to know such information and who are bound by confidentiality obligations at least as restrictive as those contained in this Agreement.

3. Duration The confidentiality obligations of the Receiving Party shall survive indefinitely from the date of disclosure of the Confidential Information.

4. Return of Materials Upon termination of this Agreement, or upon request by the Disclosing Party, the Receiving Party will return all materials containing Confidential Information to the Disclosing Party or destroy such materials and provide a written certification of destruction.

5. No Rights Granted Nothing in this Agreement shall be construed as granting any rights to the Receiving Party, by license or otherwise, to any of the Disclosing Party's patents, copyrights, trade secrets, or other intellectual property, except as expressly set forth in this Agreement.

6. No Warranty All Confidential Information is provided "as is." The Disclosing Party makes no warranties, express, implied, or otherwise, regarding the accuracy, completeness, or performance of any Confidential Information.

7. Remedies The Receiving Party acknowledges that any breach or threatened breach of this Agreement may cause irreparable harm to the Disclosing Party, for which damages may not be an adequate remedy. The Disclosing Party shall be entitled to seek injunctive relief in addition to any other available remedies.

8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state in which the Disclosing Party is headquartered (Nevada), without regard to its conflict of laws principles.

9. Miscellaneous ● This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter. ● No amendment or modification of this Agreement shall be valid or binding unless made in writing and signed by both parties. ● If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. IN WITNESS WHEREOF, the parties hereto have executed this Non-Disclosure Agreement as of the date of purchase of the products.
